"Corporate Governance" has received increasing attention over the last two decades. Globally, there as been an increasing focus on transparency and appropriate governance of organizations and public companies; in particular on governance issues such as conflicts between owners and managers, the (undefined) role of the board of directors, financial scandals, remuneration of management, hostile takeovers, the role of institutional investors, the need for transparency and accountability in public companies and director independence.
The introductory one-day course "International Corporate Governance - an introduction" gives and overview of the international developments of the last 25 years and focusses on the most important differences between the corporate governance models in UK, USA, Scandinavia, Germany, France, China and Japan.
Various theories and models on Corporate Governance including the Shareholder value vs. Stakeholder value discussion.
- The Agency Theory in Corporate Governance.
- Various mechanisms of Corporate Governance in an international perspective including:
-The role of the board of directors
-Ownership and the role of the shareholder
-Executive compensation -Company Law
- Comparison of Corporate Governance models in the UK, USA, Scandinavia, Germany, France, China and Japan
The course is specifically designed for lawyers, government officials, fund managers, investors, board members, investment bankers and others with an interest in International Corporate Governance. In order to assure optimal interaction between the course participants, the maximum number of participants is 30. Participants need to be reasonably fluent in English.
The course aims to provide the participants with knowledge of various governance models in the large EU countries (including Scandinavia), the US and a selection of Asian countries. Furthermore, the participants will obtain the competences necessary to deal comfortably with the legal/governance issues that may arise in connection to corporate structures in these jurisdictions. In addition, the participants of the course will be able to identify relevant (international) issues in - and sources of - modern corporate governance in an international perspective.
