Corporate transactions play an increasingly central role in shaping companies and markets. As merger and acquisition activity continues to grow, professionals are required not only to participate in deals, but to understand their underlying logic, risks, and value implications. The complexity and uncertainty inherent in these transactions make a solid grounding in M&A essential for achieving successful outcomes for both organizations and clients. 

This introduction course provides a structured introduction to the legal, economic, and strategic dimensions of corporate transactions. Participants will explore how different transaction models are designed, assessed, and executed, gaining insight into a broad range of deal types. These include public and private mergers and acquisitions, contested bids and defensive strategies, private equity-led transactions, and the role of activist investors. 

Particular attention is given to how transactional frameworks and market practices differ across key jurisdictions, including the UK, the United States, and the European Union. By the end of the course, participants will have developed a robust toolkit to engage confidently with the legal, contractual, and negotiation challenges that arise throughout the lifecycle of corporate deals. 

Content

The course covers the following areas: 

  • Understanding how corporate transactions create and allocate value. 
    This topic establishes the legal and economic principles that underpin major corporate deals, helping executives assess when transactions enhance long-term enterprise value and when they introduce disproportionate risk. 
  •  Managing hedge fund activism and shareholder-led challenges. 
    Participants examine the motivations, tactics, and impact of activist investors, and learn how leadership teams can respond effectively while balancing stakeholder interests and strategic objectives. 
  • Structuring and negotiating private M&A transactions. 
    This section focuses on how deal structures, contracts, and allocation of risk influence outcomes, enabling executives to make informed choices during negotiations and avoid value leakage. 
  • Evaluating private equity acquisitions from a leadership perspective. 
    Executives gain insight into how private equity investors approach acquisitions, value creation, and exits, and how management teams can align—or protect—their interests in these transactions. 
  •  Leading a public acquisition or takeover process. 
    This topic addresses the strategic, regulatory, and communication challenges involved in public offers, with an emphasis on governance, execution risk, and maintaining market confidence. 

The course is very interactive and exist of many practical examples and exercises that the participants have to solve together. The teaching takes place in English.
